1. Acceptance of terms and non-press status
By accessing or using media.proguide.cloud (the "Platform"), you agree to these Terms of Service. You expressly acknowledge that Pro Guide SAS (in formation) is a technology platform and not a registered press organ, media agency or traditional publisher. All content available on the Platform consists strictly of curated reviews, user recommendations, travel showcases and informational business profiles.
2. Beta disclaimer and limitation of liability
Experimental service. The Platform — including its web portals (media.proguide.cloud, partner.proguide.cloud, admin.proguide.cloud), native mobile apps, AI Concierge and Hyper Live tools — is operating in a Beta testing and validation phase.
"As-is" and "as-available". The Platform is provided strictly on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied or statutory, including warranties of uptime, accuracy, completeness or fitness for a particular purpose.
No financial, legal or real-estate advice. Information and reviews presented on the Platform are for informational and review purposes only. They do not constitute certified financial, legal, tax or investment advice. Users and B2B partners are solely responsible for conducting independent due diligence before entering into any commercial or investment agreement.
Limitation of liability. To the maximum extent permitted by applicable law, Pro Guide SAS (in formation), its Founder, officers, employees and agents shall not be liable for any direct, indirect, incidental, consequential or special damages — including loss of data, loss of profits, system downtime or business interruption — arising out of or in connection with your use of, or inability to use, the Platform during this Beta phase.
Pre-incorporation transition. All transactions and registrations conducted during this phase are undertaken by the Founder for the account of Pro Guide SAS (in formation). Upon registration with the French Trade and Companies Register (RCS), all rights and liabilities under these Terms transfer automatically to Pro Guide SAS.
3. Scope of platform services
Pro Guide is a curated technology gateway connecting global users with European cultural experiences, regional heritage and business ventures:
- Travel Media Tech & reviews — HD and Full HD documentary video showcases (Pro Guide TV) and AI-curated travel and lifestyle review articles (The Revue).
- PropTech & virtual showcases — 360° virtual walkthroughs, review profiles and asset presentations for real estate, wineries, hotels and innovative ventures.
- DeepTech (Hyper Live) — a secure peer-to-peer (P2P WebRTC) communication chamber with zero-logging protocols and ephemeral document sharing.
4. Accounts, subscriptions and commercial terms
User Premium Pass (€49 / 6 months). Grants all-access privileges to review catalogues, HD and Full HD video showcases, AI tools and private Hyper Live consultations. Payments are processed securely via Stripe, Apple Pay or Google Pay.
B2B partner access. Partners listing their review profiles at partner.proguide.cloud receive a 100% free listing period for the first 6 months. From the 7th month, a subscription fee of €49 / 6 months applies. Transactions successfully facilitated through Platform connections are subject to a standard 0.5% success fee, governed by digital referral agreements (contrat d'apporteur d'affaires).
5. Intellectual property
All software code, interface designs, review structures, branding and media assets are the exclusive property of Long PHAM / Pro Guide SAS (in formation). Unauthorised scraping or commercial redistribution is strictly prohibited.
6. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
